ATTEST ade, fresiden December 29, 1966. Special Meeting. ng, pepretary A special meeting of the H-atchinson Utilities Commission was held on December 29, 1966 in the Billing Office at 3:30 F. M. All Commissioners were present; also Supt. Kuiken and Secretary R. E. Young. Gas Contract with Minnesota. Mining & Manufacturing Company was read. Motion was made by Commissioner Filk and seconded by Commissioner Tracy to accept the contract as read with two exceptions, these parts to be rewritten and contract signed by the President and Secretary. Motion was unanimously carried. CONTRACT AND AGRFFMENT THIS AGREFMRNT, made and entered into as of this 27th day of October, 1966, by and between the Hutchinson Utilities Commission of the City of Hutchinson, Minnesota, as party of the first part, hereinafter called "Commission ", and Minnesota Mining and Manufacturing Company, as party of the second part, herein- after called 113M Company ". WITNESSETH : WHEREAS, 3M Company has requested Commission to furnish gas to 127 , 3M Company on a firm gas basis, and, WHEREAS, Commission desires to furnish gas to 3M Company on a firm gas commitment basis insofar as it is possible for them to do so, NOW, THEREFORE, Commission undertakes and agrees to furnish gas to 3M Company at their Hutchinson, Minnesota, plant on a firm gas basis in consideration of the payment by the 3M Company all as set forth hereafter and under the terms and conditions hereafter mutually agreed upon as follows: 1. 3M Company has a principal place of business in Hutchinson, Minnesota, and has requested gas to be used for processing in ovens (hereafter called "makers"). 2 . Commission shall furnish gas to 3M Company on a firm gas basis according to the following maximum daily demand: July 1968 thru Octobel, 1968 - 750 MCF November 1968 thru October 1969 19000 MCF 3. 3M Company shall pay to Commission as billed at the firm gas rate for the Hutchinson plant at the demand rate of $3.25 per MCF plus 40c per MCF commodity charge provided that the maximum daily demand rate of $3.25 per MCF and the 40¢ per MCF commodity charge shall be subiect to review and change before the start of each, annual period starting October 27th of each year or at such time as a price change is effected by Northern Natural Gas which company is the supplier of natural gas to the Commission. 4. 3M Company agrees that it will not use any volume of gas in excess of maximum daily demand stated in this Contract when cur- tailment is called. Curtailment is called when the utility 128. notifies 3M Company of this fact by telephone or other means of Communication. Commission agrees to give 3M Company as much notice as possible in advance of curtailment. Whenever practicable, Commission shall give 3M Company twelve (12) hours advance notice of the effective time of curtailment. 5. Should 3M Company violate this Agreement by using more gas than the firm gas commitment for the applicable period during any time of curtailment, 3M Company stipulates and agrees that it will pay as a penalty for the violation of the curtailment order $2.00 per MCF during any Step 4 curtailment and $10.00 per MCF for any additional volume of overrun gas during any Step 6 curtailment in addition to the commodity charge. 6. A billing day shall be from 12 :00 noon of one day to 12:00 noon of the next day, or such other period of twenty-four (24) conse- cutive hours as may be agreed upon by Commission and 3M Company. 7. The Commission will furnish, install and maintain meter and regulator equipment of sufficient capacity for five (5) makers with two (2) pressure regulators in series with a manual by -pass cock down stream of the regulator. The Commission shall not be responsible for any labor, material, construction, maintenance, use or accidents down stream of the regulator. 3M Company will furnish all necessary pipe and fittings down stream from the two (2) pressure regulators in series and the manual by -pass cock. B. Any additional firm gas requirements required by 3M Company must be made by written request eight (8) months or more in advance of the requirement date to give Commission sufficient time to negotiate additional gas requirements with Commission supplier, Northern Natural has Company. A reduction in firm gas requirements will be allowed pro- vided that Northern Natural Gas will take and accept the reduction in this curtailment zone. 9. All provisions of this Contract and the obligations undertaken 129. and assumed by the parties thereto are specifically limited or restricted to those that such parties may make under the terms and restricftons of the F.P.C. Gas Tariff., Second Revised Volume No. 1 ( Supersedes First Revised Volume No. 1) of Northern Natural Gas Company filed with Federal Power Commission and by Service Agreement for "CD" Rate Schedules dated September 3, 1963, effective November 1964 until October 27, 1984. The Tariff and Service Agreement referred to above is-each by reference made a part hereof. IN WITNESS WHEREOF, Commission and 3M Company have caused its corporate names to be subscribed to this Contract and Agreement and 3M Company has caused its seal to be affixed hereto, Commission not having a seal, the presence of such seal is waived and have caused this Agree- ment to be executed by those officers duly authorized to execute the Agreement.
