Regular Meeting
October 31, 1983
All Commissioners were present, also present were Counsel Peterson,
Mgr. Alexander and Ruth Hakel.
President Filk called the meeting to order at 1:00 p.m.
The September minutes were reviewed. President Filk noted the
following had been omitted from page 20, Resolution no. 8:
Motion was unanimously carried.
A motion was made by Commissioner Daggett, seconded by Commissioner
Lyke to accept the minutes with the above omission made a part of
the minutes. Motion was unanimously carried.
The electric payables were then considered, and after discussion,
a motion was made by Commissioner Daggett, seconded by Commissioner
Lyke to accept the electric payables. Motion was unanimously
carried.
The gas payables were then reviewed. A motion was made by
Commissioner Lyke, seconded by Commissioner Daggett to accept
the gas payables. The motion was unanimously carried.
Ruth Hakel presented the financial statements for both entities.
A motion was made by Commissioner Lyke, seconded by Commissioner
Daggett to accept both reports. Motion was unanimously carried.

As we discussed recently, we have entered into a Settlement
Agreement with Rolls- Royce, through which Rolls will pay the
sum of $75,000.00 to Hutchinson.
I have enclosed an or_iyinal and four copies of a Settlement
Agreement, which should be executed on page 6 and notarized on
page 7. It would be helpful if the President of the Commission
would be the party executing the document on behalf of the
Commission.
After you have had the document executed, please return the
original and three copies to me in the enclosed envelope. You
may keep the fourth copy for your records.

STIPULATION OF SETTLEMENT
AND LIMITED RELEASE
WHEREAS, the above - captioned action having been commenced by
Hutchinson Utilities Commission [hereinafter "Hutchinson "]
against Curtiss - Wright Corporation [hereinafter "Curtiss- Wright "]
and Rolls -Royce Limited [hereinafter "Rolls- Royce "] ; and
WHEREAS, Rolls -Royce having denied the claims of Hutchinson
and having asserted certain affirmative defenses thereto; and
WHEREAS, Curtiss - Wright having asserted certain cross - claims
for indemnity and /or contribution against Rolls- Royce, and Rolls-
Ll
Royce having denied the same and having asserted certain affirm-
ative defenses thereto; and
WHEREAS,
Hutchinson being
desirous of
fully compromising
and
settling its
claims against
Rolls -Royce
without prejudice
to
Hutchinson's ent, i t.l emerit to continue the prosecution of its
claims against Curtiss- Wright; and
WHEREAS, Rolls -Royce being desirous of fully compromising
and settling all of the claims asserted against it and avoiding
the expense of further litigation:
NOW, THEREFORE, in consideration of the mutual. promises
contained herein, Hutchinson and Rolls -Royce agree as follows:
I. Upon the Order of the Court in the form annexed hereto
being entered and becoming final, Rolls -Royce will pay to Hutch-
inson the sum of Seventy Five Thousand Dollars ($75,000).
2. It is understood and agreed that the payment of said
sum is not to be construed as an admission of any liability
whatsoever by or on behalf of Rolls - Royce, by whom liability is
expressly denied, and that Hutchinson will accept said sum as a
compromise and settlement of all claims on account of the dispute
as to whether Rolls -Royce is, either directly or indirectly,
liable for any loss or damage relating to or in any way arising
out of the design, manufacture, sale and /or use of the Industrial
Olympus Engine identified in Hutchinson's Amended Complaint.

3. Hutchir:, on hereby releases and discharges any and all
claims which it has ever had, now has, or may hereafter have
against Rolls- Rcyce, its directors, officers, agents, employees,
administrators, su�cess�rs, predecessors, assigns and affiliated
companies. In p),rtic tilar, but without limiting the generality of
the foregoing, Hutchinson hereby releases and discharges so much
of the cause(s) of action alleged in its Amended Complaint as is
equal to: a) that fraction, portion, percentage or part (however
denominated) of its alleged loss and damage which is, or which
might be determined to be, attributable to the causal fault
(whether
in the form
of negligence,
strict products liability,
breach of
warranty or,
otherwise) of
Rolls -Royce or which might be
allocated or reallocated to Rolls -Royce pursuant to Minn.St.
Section 604.02; and b) that fraction, portion, percentage or
part (however denominated) of its alleged loss and damage for
which Rolls -Royce might be found liable to Curtiss- Wright or any
other person or party on a theory of contribution or indemnity.

Hutchinson will indemnify Rolls -Royce
and hold it
harm-
less as
to all claims for contribution and /or
indemnity
which
have been
or may
hereafter be asserted by Curtiss- Wright
or
by
any other
person
or party against Rolls -Royce on the basis
of
any
claims which Hutchinson has ever had, now has, or may hereafter
have relating to or in any way arising out of the design, manu-
facture, sale and /or use of the Industrial -Olympus Engine identi-
fied in Hutchinson Is Amended Complaint, specifically including
but not limited to those claims which have been asserted in the
above - captioned matter.

5. In the event that any judgment is rendered in favor of
Hutchinson f'or loss or damage relating to or in any way arising
out of the design, manufacture, sale and /or use of the Industrial
Olympus Engine identified in its Amended Complaint, Hutchinson
will immediately execute and enter a partial satisfaction of such
judgment satisfying such fraction, portion, percentage or part
(however denominated), if' any, of such award: a) as is adjudged
to be attributable to the causal fault (as hereinabove defined)
of Rolls -Royce or which is allocated or reallocated to Rolls -
Royce pursuant to Minn.St. Section 604.02; or b) for which Rolls -
Royce is found liable to Curtiss- Wright or any other person or
party on a theory of contribution or indemnity.
6. In the event Hutchinson should fail to immediately
execute and enter a partial satisfaction of judgment as provided
in Paragraph 5 above, Hutchinson hereby consents and agrees that,
upon the ex parte application of Rolls- Royce, without any notice
or hearing, the Clerk of the Court in which such judgment is
entered shall forthwith record such judgment as satisfied to the
extent provided in said Paragraph 5.
7. It is expressly understood and agreed that it is not
the intention of the parties to this Stipulation of Settlement
and Limited Release that it shall operate or be construed to
discharge any person or party other than Rolls- Royce, its direct-
ors, officers, agents, employees, administrators, successors,
predecessors, assigns and affiliated companies, from liability
for loss or damage sustained as a result of the transactions,

occurrences and E.-- „Erits alleged in the Amended Complaint and that
the payment of the above sum is not intended to be, nor shall it
be construed as, full compensation for the damages alleged to
have been sustained by Hutchinson as a result thereof, except as
to such fraction, portion, percentage or part (however denom-
inated) as might be ,adjudged to be attributable to the causal
fault (as hereinabove defined) of Rolls -Royce or, allocated or
reallocated to Rolls -Boyce pursuant to Minn.St. Section 604.02,
or for which Rolls -Royce might be found liable to Curtiss- Wright
or any other person or party on a theory of contribution or
indemnity, and Hutchinson expressly reserves the balance of its
whole cause(s) of action and any other claim(s) of whatever kind
or nature which it may have or hereafter have against any other
person or party arising out of' the transactions, occurrences and
events alleged in its Amended Complaint, particularly including
its right to continue this present action as against Curtiss -
Wright.
8. It is the express intention and desire of Hutchinson
and Rolls -Royce that the provisions hereof shall operate as a
"Pierringer -type release” in accordance with the Minnesota
Supreme Court's opinion in Frey v. Snelgrove, 269 N.W.2d 918
(Minn. 1978) and that, upon approval hereof, the Court shall
enter its Order dismissing with prejudice the claims of Hutchin-
son, and the cross - claims of Curtiss - Wright, (both for contribu-
tion and for indemnity), as against Rolls- Royce.

9. Rolls- R::yce wi 11 not voluntarily produce any of its
past, present or future employees to testify at the trial of the
above - captioned rn�itter on behalf of any party.
10. Hutchinson acknowledges that, in entering into this
Stipulation of Sett.lemf,nt and Limited Release, it is relying upon
its own judgment, belief and knowledge as to all phases of its
claims and upon the adv i c:e of its own counsel, and that it is not
relying upon representat, ions or statements made by any of the
persons hereby released or by anyone representing them.

Upon consideration of the foregoing Stipulation of Settle-
ment and Limited Release, and upon all the files, records and
proceedings herein, and being fully advised in the premises, it
is by the Court:
ORDERED, ADJUDGED AND DECREED that:
1. The foregoing Stipulation of Settlement and Limited
Release shall be, and it hereby is, approved;

3. The cross - claims of Curtiss- Wright Corporation against

just reason f'or delay in the entry of final judgment, that a
final judgment should be entered as, and be deemed, a final
judgment in accordance with Rule 54(b) of the Federal Rules of
Civil Procedure; and
5. The Clerk of this Court is hereby directed to enter a
final judgment in accordance herewith.

3. Swanke Motors, Inc.

Motion was made by Commissioner Daggett, seconded by Commissioner
Lyke to accept the low bid of Swanke Motors, Inc. in the amount
of $8,328.66 with payment to be made after January 1, 1984. Motion
was unanimously carried.
The 1975 Ford car having been "totaled out ", Mgr. Alexander provided
the Commission with a list of used cars.
After discussion, Mgr. Alexander was asked to get quotes on a new
car or demonstrator.
Mgr. Alexander reported to the Commission on recent correspondence
received from Associated Consultants regarding the expander
generator system. It was the consensus of opinion to delay any
action on the project for six months.
Mgr. Alexander informed the Commission when the Ford Plant in St.
Paul increases truck production, it would not affect the potential
of Hutchinson Utilities Commission purchasing energy in the future.
A tour of the facilities will be offered to the Commission in the
very near future.
Counsel Peterson reported to the Commission regarding settlement
of the lawsuit brought by LeRoy Christensen et al. Counsel Peterson
stated that although he was confident the Commission would have
prevailed at a trial on the merits of the lawsuit that settlement
was advisable in view of the further costs of proceeding with trial.
On a motion by Commissioner Lyke, seconded by Commissioner Daggett
the settlement of the Christensen, et al. lawsuit was ratified,
approved and confirmed. Motion was unanimously carried.
Counsel Peterson prepared an Indemnification Resolution. As no
action was taken, President Filk asked that it be placed on the
November agenda.
Correspondence regarding the Curtiss - Wright and Rolls Royce
litigation from Counsel Lawrence T. Hofmann was presented to the
Commission. (Copy attached to face of minutes) Counsel Hofmann
recommends settlement with Rolls Royce and provided a copy of
proposed Settlement Stipulation.
On a motion by Commissioner Lyke, seconded by Commissioner
Daggett the Settlement Stipulation was ratified, approved
and confirmed and the President was authorized and directed
to execute the Stipulation. Motion was unanimously carried.
Mgr. Alexander presented correspondence received from the
International Brotherhood of Electrical Workers in which
the following items were submitted for negotiation:
1. One year agreement
2. Reasonable increase in wages
3. Retroactive pay
As the December regular meeting date falls on a holiday, it
was decided to meet on the 29th instead of the 26th.
A motion was made by Commissioner Daggett, seconded by Commissioner
Lyke to purchase an additional $5,000,000 umbrella coverage from
Insurance Planners for an amount of $2,500 to be pro -rated to
November 1, 1983. (The policy will extend to cover the Gas and
Electric Utilities including Public Official Liability.)
