09-26-1983 HUCMRegular Meeting September 26, 1983 All Commissioners were present, also present were Counsel Peterson, Mgr. Alexander and Ruth Hakel. President Filk called the meeting to order at 1:00 p.m. The August 29, 1983 minutes were reviewed. A motion was made by Commissioner Lyke, seconded by Commissioner Daggett to accept the August minutes as presented. Motion was unanimously carried. The August electric and gas payables were then considered. A motion was made by Commissioner Daggett, seconded by Commissioner Lyke to accept the payables. Motion was unanimously carried. Ruth Hakel presented the financial statements for both entities. A motion was made by Commissioner Daggett, seconded by Commissioner Lyke to accept both reports. Motion was unanimously carried. At this time Ivan Larson gave a progress report on the 69,000 KVA substation construction. Every phase seems to be on schedule with completion, as planned, for January 1, 1984. The Utility Center roof has had some delays due to inclement weather. Butch Wentworth reviewed work accomplished by the distribution department since spring - storm damage repair, new underground installations, conduit installed in intersections (for future use), 37 transformer changes, new services, etc. Fall work to include the Schmidtbauer twelve -plex, Miller four -plex, new underground to replace old overhead. As Orville Kuiken was unable to attend the meeting, Mgr. Alexander reported the gas department has been busy making a leak detection survey of the entire system, also installing new services. It was suggested that Kerry Krueger, natural gas employee, be trained by Butch Wentworth and Ivan Larson to make energy audits. Counsel Peterson reviewed last minute information regarding the Christensen - Miller vs. Hutchinson Utilities Commission lawsuit to be held October 3, 1983. RESOLUTION 8 WHEREAS, a civil lawsuit has been commenced by LeRoy Christensen, Esther Christensen, Willis Miller, and Audrey Miller against the Hutchinson Utilities Commission and against H. P. Quade, Clinton Tracy, H. W. Filk, H. Steve Wacker, and Rufus Alexander, individually; and Resolution 134 As per resolution #1000 adopted 11 -29 -06 Numbering resolutions from 1936 — 2006 For search purposes only C WHEREAS, the individuals are past or present employees or commissioners of Hutchinson Utilities Commission; and, WHEREAS, said individuals acted in good faith regarding their conduct which is the subject of the lawsuit; there- fore it is RESOLVED, that Hutchinson Utilities Commission shall in- demnify H. P. Quade, Clinton Tracy, H. W. Filk, H. Steve Wacker, and Rufus Alexander against any judgments resulting therefrom, whether for compensatory or punitive damages, and shall pay for attorneys' fees and all other expenses incurred in the representation of them in said lawsuit. A motion was made by Commissioner Lyke, seconded by Commissioner Daggett to adopt Resolution No. 8. Motion was unanimously carried. (President Filk abstained) Mgr. Alexander reviewed with the Commission current general liability insurance coverage for both entities. Management was instructed to obtain quotes for additional coverage for the October meeting. Mgr. Alexander spoke briefly on the expander generator, also on the possibility of obtaining energy from the Ford Dam site. Mgr. Alexander reported the Minnesota Municipal Utilities Association fall meeting would be held October 26 -28, 1983 at the Sheraton Park Place in Minneapolis, Minnesota. A motion was made by Commissioner Daggett, seconded by Commissioner Lyke authorizing the attendance of the general manager and Commissioners to attend. Motion was unanimously carried. Nominations for officers followed. Commissioner Daggett nominated Commissioner Filk for President. A motion was made by Commissioner Daggett, seconded by Commissioner Lyke that nominations cease. There being no further nominations, Commissioner Filk was duly elected and declared President of the Hutchinson Utilities Commission. Commissioner Filk nominated Commissioner Daggett for Vice President. A motion was made by Commissioner Filk, seconded by Commissioner Lyke that nominations cease. There being no further nominations, Commissioner Daggett was duly elected and declared Vice - President of the Hutchinson Utilities Commission. 1 The next order of business was to appoint a Secretary. A motion was made by Commissioner Daggett, seconded by Commissioner Filk to appoint Tom Lyke as Secretary of the Hutchinson Utilities Commission. Motion was unanimously carried. A motion was made by Commissioner Lyke, seconded by Commissioner Daggett to appoint Ruth Hakel as Recording Secretary /Assistant Secretary. Motion was unanimously carried. A motion was made by Commissioner Daggett, seconded by Commissioner Lyke to appoint Richard Peterson legal counsel of the Hutchinson Utilities Commission for the next year (September, 1983 - September, 1984). Motion was unanimously carried. President Filk appointed Commissioner Daggett to work with Counsel Peterson on negotiations with the Union's bargaining group for the 1984 Union contract.
