RECTTALs A. The City of Hutchinson reserved an easement for construction of a water tower in a Quitclaim Deed dated March 22, 1971, and recorded on April 16, 1971, in Book 147 of Deeds, page 409, in the Office of the McLeod County Recorder ( "the Original Easement "). The reservation of the Original Easement contemplated a water tower to be constructed somewhere within the property legally described on Exhibit A (the "Original Easement Area "). B. Since the reservation of the Original Easement, the City has constructed and maintained a water tower and related equipment in the area as legally described and illustrated on Exhibit B. C. The parties now desire to amend the scope of the reservation of the Original Easement to reflect the updated legal description of the water tower and the new terms and conditions, such as the care and maintenance of existing improvements and equipment and procedures to govern adding new equipment or accessory building(s). D. The Original Easement, as amended by this Amendment, shall be referred to as the "Easement". The Original Easement Area, as amended by this Amendment, shall be referred to as the "Easement Area ". AGREEMENT 1. Easement The College hereby Grants to City an easement and City accepts the easement with the right to maintain, operate, and reconstruct the water tower on the premises, for access to such water tower, and for installation and maintenance of equipment on the water tower for governmental communications purposes including, but not limited to, City utility metering and remote data infrastructure, and emergency 0 response communications utilized by police, fire, and ambulance personnel. The Easement is legally described on Exhibit B attached and incorporated herein. The Easement granted herein further contemplates that from time to time, the City shall require use of a staging area to support the staging or equipment maneuvering related to maintenance, installation, restoration, and reconstruction of the water tower or equipment on or about the water tower and related improvements. A specific area has been designated on the attached Exhibit B labeled as Temporary Easement Area dedicated for such use. Prior to such use of the Temporary Easement Area, the City will give written notice to the College no less than ninety (90) days prior to any planned installation, maintenance, restoration, or reconstruction activity (the "Work") that requires the use of the Temporary Easement Area, specifying the time required and a description of the Work. The College shall provide the City with a response within thirty (30) days of receipt of written notice. In emergency situations where unplanned repairs are needed the City will notify the College immediately upon making any emergency repairs. Except for the Easement Area and the Temporary Easement Area described on Exhibit B, the City hereby releases any interest it holds in the Original Easement Area under the terms of the Original Easement. 2. Construction License. The College grants the City a limited construction license to construct a secure accessory building for housing the Allied Radio Matrix for Emergency Response ( ARMER) 800 MHz trunked public safety radio system within the Easement Area. This ARMER system accessory building plans and system information is attached on Exhibit C. The limited construction license shall expire January 31, 2013. 3. Liability Each of the parties is responsible for their own actions and the actions of their employees and City shall require their contractors to adhere to current vendor insurance requirements as prescribed by the College and the State. The City will indemnify the College for any damage to the College's property which is caused by its operation of the water tower subject to the limitations of Minnesota Statute §466. The College is responsible for any damage to the City's property negligently caused by its employees. The College's liability is governed by the Minnesota Tort Claims Act, Minn. Stat. § 3.736. 4. Maintenance The City will maintain the Easement Area including, but not limited to, painting and other upkeep of the water tower, maintenance of any driveway or parking lot areas, snow removal, and lawn maintenance. The City will maintain the Easement Area in good condition. 5. Improvements Other than the Accessory Building contemplated in Section 2_ above, the City may not construct any improvements on the Easement Area other than the water tower, any necessary driveways or parking lots, fencing, any structures needed to house equipment necessary for the operation of the water tower, and any communications equipment described under the paragraph below. The City shall ensure that no mechanic's liens attach to the Easement Area. 6. Third Party Use on or about the Water Tower and Easement Area Notwithstanding Section 1, the City may grant lease or license agreements to any non - governmental third party users under the following conditions: a. The City's Facilities Use Agreement with a third party must be approved in writing by the College prior to execution and a copy must be provided to the College using the proper notification provisions as set forth in Paragraph 12 below, within five business days of full execution. b. Prior to College approval, the City, together with proposed user, shall submit the proposed Facilities Use Agreement described in (a.) above, for the College's consideration and consent. Additionally, the City agrees to make a good faith effort to inform any proposed user that the College owns the underlying fee title, and the proposed user may be required to enter into the College's Facilities Use Agreement and pay rent to the College. JW C. The proposed user shall be required to provide College with evidence of insurance at current College vendor insurance requirement levels and list the College as an Additional Insured. d. No work shall commence until all items described in paragraphs (a) -(c) have been satisfied. 7. Additional City Users. The City shall give no less than thirty (30) day advance written notice to the College whenever it contemplates adding additional City users, communications or otherwise, to the water tower to request permission to allow such installation. The College shall promptly respond to the City's written request and shall provide written permission, which shall not be unreasonably withheld, to City upon receipt of said notice. 8. Assigaunent The City may not assign the Easement without the written consent of the College. 9. Abandonment In the event that the City ceases to use the water tower for a period longer than two (2) years, the City agrees to remove the water tower, any accessory buildings or other equipment including foundations from the Easement Area within three (3) years from the date of such cessation of use. The City also agrees that within ninety (90) days of such cessation of use, it will provide to the College a document in recordable form indicating that the Easement has been abandoned and reverted back to the College. This section does not apply to temporary cessation of use due to water tower maintenance or reconstruction. 10. Personal Property The water tower located in the Easement Area is not a fixture but rather is personal property owned by the City. 11. Environmental Covenants The City shall not store, locate, generate, process, treat, transport, incorporate, discharge, emit, release, deposit or dispose of any hazardous substance in, upon, under over, or from the premises in violation of any environmental law, shall cause all hazardous substances to be properly remedied and disposed of in accordance with all applicable environmental laws, shall not install or permit to be installed any underground storage tank in violation of any environmental law, and shall comply with all other environmental laws applicable to the Easement Area. The City shall indemnify the College for any and all claims, demands, judgments, penalties, liabilities, costs, damages and expenses, including court costs and attorney's fees directly or indirectly incurred by the College in any action against or involving the City resulting from any breach of the above covenants. The covenants in this paragraph shall be deemed continuing covenants and survive the termination of this Easement. 12.
