This building not only provides apartments for eligible elderly, but in addition has the City funded senior center located on approximately 50% of the ground floor of the building. The remainder of the building is owned by a partnership headed by Mr. Lever who have invested funds - o£ their own and who have'obtained through the Minnesota Housing Finance Agency and the Department of Housing and Urban Development a Section 8 mortgage to finance the building over a 30 -year period. Since the building is privately owned it can be bought and sold like any other property as long as the buyer meets the approval of the Minnesota Housing Finance Agency. It has been brought to our attention that the current owners of the Evergreen building headed by Mr. Lever are at present considering the sale of the building to another out-of -town private owner. This sale could take place by yearend, or may take place in the future in an- other fiscal year. Of course the sale of the building to other owners could quite possibly mean that there would no longer be local management by the HRA of the residential portion as the new owners would be under no contract obligation to utilize the management services of the HRA, but could have an out -of -town management firm assume that responsibility If they so desire. In addition, there would be no guarantee that the new owners would cooperate with local government in the use of the building's residential area as an integral part of the senior center's activities in the building. It is for these reasons that the HRA would request authori- zation by the City Council to allow city staff to investigate the possi- bility of the municipal purchase and subsequent long term ownership of the Evergreen building. It is the hope of the HRA that this investigation will provide local authorities the information necessary to make the determina- tion that municipal ownership would be allowable based on regulations, and that its cost would be feasible based on available financing methods. Once this is determined, the municipal government would be able'to act based on its findings should it be informed that the building was to be sold. In conclusion, the BRA Board of Commissioners requests the City Council to grant approval to authorize city staff to investigate this issue. The Bonds are 98 in number and numbered from 1 through 98, each in the denomination of $5,000 and payable to bearer. The Bonds are in due form, have been duly executed and delivered, and are valid and binding general obligations of the City enforceable in accordance with their terms, except to the extent enforceability may be limited by State of Minnesota or United States laws relating to bankruptcy, reorganization, moratorium or creditors' rights generally. - 2. The principal of and interest on the Bonds are payable primarily from ad valorem taxes and special assessments which the City has levied or agreed to levy with respect to the improvements financed by the issuance of the Bonds, the collection of which the governing body of the City has estimated will pro- duce amounts at least five percent in excess of the amounts needed to meet when due the principal and interest payments on the Bonds, but if necessary for payment of such principal and interest, ad valorem taxes are required to be levied on all taxable property in the City, which taxes are not subject to any limitation as to rate or amount. 3. The Bonds are not "arbitrage bonds" within the meaning of Section 103(c) of the Internal Revenue Code of 1954, as amended, and the regulations promulgated thereunder. 4. As you well understand, it is always difficult to estimate a city audit fee due to the changes in funds, ongoing bond issues, volume of transactions, legal changes and normal annual growth of the entity involved. We would anticipate that the time involved would be similar to last year. We would anticipate that our work schedule would be similar to previous years. Our fee estimate for the audit according to generally accepted accounting standards and an opinion that the report was presented in accordance with generally accepted accounting principles is as follows: Based upon our estimate of hours for each category level of staff and assuming the expectant degree of city accounting assistance for the coming year and further assuming there are no special internal problems or other consultation or systems work that would not be subject to an additional proposal, our audit fee would not exceed $15,500. This fee is based upon an expectation that our total billing at standard rates would be approximately $18,000. Due to the fact that cities in general have been facing budget and fiscal problems because of state cut backs, we feel that we can discount the standard fees by approximately 158. We of course, wish to continue our present relationship with the City and we know we can perform the type of work and service you are looking for. We also feel we have an adequate sized staff with the necessary expertise in municipal acounting that is necessary for a city of your size.
