Special Meeting
A Special Meeting of the Hutchinson Utilities Commission
was held on January 31, 1974 at 9:00 A. M.
All Commissioners were present; also Manager Wacker.
The meeting was called to order by President Quade.
Manager Wacker presented new Job Classification -Wage
Schedules for the period January 1, 1974 thru June
30, 1974 as per enclosed following page.
The motion was made by Commissioner Filk, seconded by
Commissioner Tracy and unanimously carried to accept
the Schedules as presented.
There being no further business, t meeting was
adjourned at 11:30 A.M.

HUTCHINSON UTILITIES COMMISSION
EMPLOYEE WORK RULES AND REGULAATIONS
HOURS OF WORK
The regular workweek for all employees shall consist of forty (40)
hours. The regular workweek shall begin 12 :01 A.M. on Sunday and term-
inate at x.2:00 P.M. midnight on Saturday.
The regular hours of work for other than shift workers except ser-
vicemen shall be from 8:00 A.M. to 5 :00 P.M. with one hour intermission
between 11 :00 A.M. and 2 :00 P.M. for meals each day, Monday to Friday,
inclusive.
The regular hours of work for shift workers engaged in performing
the classification of work where service is required twenty -four (24)
hours per day and seven (7) days per week shall be as.follows: Shift
workers shall work in accordance with a posted working schedule of a
combination of days on duty with two or three days off in such a way
that over a period of a calendar year, a shift worker will work no more
than an average of 40 hours per workweek.
OVERTIME
Overtime at time and one -half rates shall be paid for all hours
worked in excess of eight (8) hours per day or forty (40) hours per week
except that shift workers shall be compensated at overtime rates for all
hours worked in excess of their regular posted schedule,
Shift workers will not be allowed overtime for work performed on
Sundays, when such work is performed on their regular shift.
A shift differential of $.06 per hour for hours 4:00 PM to 12 :00
midnite. A shift differential of $.15 per hour from 12 :00 midnite to
8 :00 A.M. A shift differential will not be allowed for time not worked
such as vacation time, sick leave time, etc.
HOLIDAY PROVISIONS AND PAY
Employees shall receive the following paid holidays:

President's Day (3rd Mon. in Feb.) Columbus Day
Good Friday (1/2 day) Veterans Day
-Memorial Day Thanksgiving
Fourth of July Christmas (11, days)

When a nationally observed holiday falls on Sunday, the following day
shall be the holiday. When a holiday falls on Saturday, the department
shall observe the previous Friday.
Shift workers who are required to work an eight (8) hour shift on a
holiday shall be compensated by receiving double time. Other employees
who are required to work on a holiday shall be paid the same rate as shift
workers. When a holiday falls on an employee's scheduled day off and he
is not otherwise compensated for said holiday, he shall receive eight (8)
hours pay at straight time rates for said holiday.
In order to qualify for the eight (8) hours of straight time holiday
pay for a holiday not worked, it is required that the employee shall work
the last scheduled work day or shift prior to and the first scheduled
work day following the holiday, unless employee is absent before or after
a holiday, for such reasons as vacation, sick leave, jury duty, and death
in immediate family.
VACATTnNS
All employees shall be entitled to vacation with regular pay each
fiscal year it accordance with the following rules:
Any regular employee who has been employed one (1) full year shall be
entitled to a vacation of one week containing five (5) work days with pay.
Any regular employee who has been employed two (2) full ,years shall be
entitled to a vacation of two (2) weeks containing ten (10) work days
with pay.
Any regular employee having 15 years or more of continuous service
shall be entitled to three (3) weeks containing fifteen (15) work days
vacation with pay.
Any regular employee having 20 years or more of continuous service
shall be entitled to four (4) weeks containing twenty (20) work days
vacation with pay, subject to the following:
Time spent by the employee on leaves of absence and lay off shall not
be considered in determining the time required to qualify for vacations.
All vacation time must be taken prior to December 31st of the year under
consideration.
All vacations shall be taken on consecutive days unless the depart-
ment head and the employee agree on a different division of vacation time.
Vacation time shall not accumulate from the fiscal year to another.
If an employee takes his or her vacation during a week in which one
of the holidays falls, the employee shall be entitled to an additional day
off. The additional day off shall be taken at such time as mutually agreed
upon between the employee and the department head.
Vacation time shall start on Sunday for each vacation period, unless
other arrangements are mutually agreed upon between the employee and the
department head.

Regular employees vacation does not apply to labor and school
students who are employed from time to time on a temporary basis.
Beginning January lst, or as soon as practical thereafter, of each
calendar year, department heads will consult with all regular employees
entitled to vacations and, from such consultation, a working schedule
for vacation period shall be established and posted on or before April
15th. On split vacations, 'seAiority shall apply only to the first choice.
SICK LEAVE POLICY
All regular full time employees shall be granted sick leave. The
duration of sick leave with pay shall be based on one -half day per month
for the first two years, and one (1) day per month the third and remain-
ing years of full time employment.
Sick leave will accumulate from year to year to a maximum of 85 days.
Sick leave will go into effect January 1, 1973 and will be retro-
active as scheduled below less sick days ih l 72.

The above sick leave shall be the maximum amount of time which the
employee will be allowed per year. The sick leave year shall begin
on January 1st and end on December 31st.
Employee may be required to present evidence satisfactory to the
department of inability to work due to illness or accident.
Employee must adopt such remedial measures as may be commensurate
with his disability and permit such reasonable examinations and inquires
by the employer's medical representative or other suitable representative
as in the employer's judgment may be necessary to ascertain employee's
condition.
If an employee becomes ill and must stay home from work, he shall
notify his department head before his work day begins.
If an employee becomes ill during his regular work day, he shall
notify his department head that it is necessary to leave due to illness.
Benefits under this plan will be reduced by any future benefits pro-
vided by any law, Social Security Benefit, or Unemployment Insurance so as to
prevent duplication of benefits, should the various benefits provided under
the above mentioned laws or agencies be interpreted to pay an allowance in
lieu of an employee's wage when he is off work due to illness or injury.
No sick leave credit will be accrued while an employee is away from
work due to leave of absence, sickness, or disability, nor will sick
leave pay be allowed during leaves of absence or during; lay -offs except
as provided in paragraphs below.
Sick leave pay credit shall. cease on the day preceding the day on
which the employee retires under the Retirement Plan. If an employee be-
comes ill, or is injured while on vacation, the scheduled vacation time
is counted on vacation, and if the disability continues beyond the
scheduled time of the vacation, the sick leave pay (any remaining sick
leave credit) will begin on the first consecutive scheduled working day
after the end of the scheduled vacation.
Any employee found guilty of abusing sick leave provisions contained
herein shall automatically have his sick leave benefits cancelled.
A disability leave of absence shall be granted to any employee at
such time as he had exhausted all of his accumulated sick leave benefits
and in the event his illness or disability continued after such time.
Upon request by the employer at reasonable intervals, the employee shall
furnish a doctor's certificate certifying as to the employee's inability
to return to work because of such illness or disability.
Employees who are engaged in after-hours employment of others or
self - employed and covered by other's Workmen's Compensation Insurance,
shall not be fully covered under the Department's Sick Leave Policy
outlined, but shall receive the difference between their regular salary
and 'Workmen's Compensation similar to procedure outlined.
The Commission agrees to comply with the following Workmen's Compen-
sation Regulations. If employees of the Department have, at the time of
compensable injury, accumulated credits under their vacation or sick leave
plan, the Commission will provide for the payment of their full salary
during the period of disability, providing all payments as made under
Workmen's Compensation shall be retained by the Department. However, the
additional payments made to the employee over and above that paid by
Workmen's Compensation shall not exceed the amount of credits which an
employee is entitled to from such vacation or sick leave accumulated by
said employee and the employee's vacation or sick leave account shall be
charged only with the difference between the Workmen's Compensation
payment and his regular salary.
GENERAL PROVISIONS AND WORKING RULES
Any shift worker requesting time off for personal reasons must make
arrangements with a fellow employee to relieve him. Other employees re-
questing time off for personal reasons will be subject to pay roll de-
duction for the amount of time taken off. Time off for personal reasons
is subject to permission by the department head. Pay roll deduction will
not be made for time off for personal reasons if the employee elects to
deduct this time off from his vacation.

Attendence of employee (firemen) to city fires will be allowed
and recommended as long as absence of employee does not interfere or
cause interruption to service.
Attendence at country fires while on call during working hours
will not be allowed unless an emergency second call is alarmed.
Intoxication of an employee on duty or consuming of liquor during
working hours will not be tolerated. Any employee reporting for duty
under the influence of liquor will be sent home. It is then mandatory
that the case be reported to the General Manager, who will take discipli-
nary action.
When a regular full -time employee has been called upon for jury
duty by either the State or Federal Courts, and has been absent from
work because of such jury service, he shall be paid his regular salary
by the Commission with the understanding that at the completion of his
jury service, he shall present his jury service checks to the department
and that the amount of such checks, less the amount included for travel-
ing expenses, shall be deducted from his next regular pay check.
Any employee who has attained the age of sixty -five (65) years
shall be retired on the pay day immediately following the 65th
birthday.
Pay days will be bi- weekly on Friday following the end of the
regular pay period. When pay day falls on holiday, employees shall
receive their pay on Thursday.

AN AGREEMENT
in principle between
McLEOD COOPERATIVE POWER ASSOCIATION
and
HUTCHINSON UTILITIES CONWSSION
OF THE CITY OF HUTCHINSON
STATEMENT OF PRINCIPLES.
Municipal and Cooperative Utilities operate for the purpose of providing their
member- customers with an essential service of electricity at lowest cost.
Service is their top priority. Profit is not an objective. Neither party is in
business as a ".contractor" to build facilities for sale. Construction capital
is provided by the user through the long term usage of electricity at a price
reflecting the cost of operation including depreciation and amortization of the
capital investment required for his service. The user's capital investment
includes his pro rata share of facilities from the generator to meter.
It is recognized that the City of Hutchinson, hereinafter referred to as the City,
desires to expand its corporate geographical area, thereby expanding the service
area of the Hutchinson Utilities Commission, hereinafter referred to as the
Commission, and that the McLeod Cooperative Power Association, hereinafter
referred to as the Cooperative, desires to retain it's service area creating a
"zone of conflict" where the city annexes "rural" territory currently served
by the cooperative. In the best interest of the people, who must pay the bill,
it is incumbent upon the parties hereto to agree to certain principles and
concepts to accomplish the most efficient use of facilities if the lowest cost
of electric service is achieved for the users of electricity. To do this we
subscribe to the following concepts:
A. PLANNING
1. Long range plans, covering a period of at least 5 years hence,
should be submitted to each party by the other for those areas
described below.
2. These long range plans of the cooperative should cover the
area covered by the Orderly Annexation Agreement, Docket A2456(OA)
entered into by the City of Hutchinson and adjacent townships.
The long range plans of the Commission shall cover areas of ser-
vice within 1500 feet of the city limits along streets connecting
with roads extending outside the city.
3. After a reasonable period of study, the party receiving the
long range plans shall return them with its comments regarding the
compatibility of the received plans with its own long range plans.
4. A discussion between the managements of the two parties shall
then be held to coordinate long range plans.
5. If construction plans appreciably deviate from the long range
plan the party planning the construction shall notify the other
party of these changes as early as possible.
B. POWER PURCHASE and /or EXCHANGE
1. Long range power procurement plans should be jointly studied
to seek advantages to each party as related to (a) power, (b) energy
and (c) reliability insofar as existing contractual relations
will permit.
C. EXCHANGE OF FACILITIES AND CUSTOMERS.
1. `Purchase price of a utility usually consists of two parts.
The purchaser considers the value of existing facilities. However,
the value of the business as it relates to income usually con-
stitutes the larger part of the consideration. The same situation
exists with respect to electric utilities. This concept is being
applied in this agreement.
A. Purchase of Existing Distribution Facilities. Existing
facilities shall be purchased at a price equal to the original
cost of the facilities depreciated to date of transfer. This
' shall cover all primary, secondary and service lines, transformers,
meters, and incidentals attached to the line. The extent of
the lines to be purchased may be in accordance with the mutual
agreement, it shall be understood that the Commission shall pur-
chase all lines within the limits of the city after annexation.
B. Value of Going Business. This particular part of the pay-
ment shall cover such items as the value of margins and revenues,
and the loss of use of other facilities of the system such as
substation and power supply previously used by the transferred
customers and other incidentals. The Commissions shall pay the
Cooperative an amount equal to the previous fiscal year revenue
from energy billing to those customers transferred multiplied
by two and one half (2.5) .
D. POWER SUPPLY FACILITIES.
1. Substations, transmission lines, sub - transmission lines and
multiphase distribution "feeder" lines shall be considered separately.
These facilities shall normally remain in place by an easement per-
mit granted by the city. Such facilities shall not be used for the
purpose of serving customers within the corporate city limits except
in instance where specific approval shall have been granted by the
Commission.
2. In case the Commission requests removal of substation, trans-
mission lines, sub - transmission lines or multiphase distribution
"feeder" lines from within the corporate city limits, the Commission
shall reimburse the Cooperative for the cost of providing a non-
betterment facility (facility of equal power flow capacity) to the
most feasible route or location lees the value of any salvaged
material.
3. Joint planning for future loads and area should minimize abandon-
ment and maximize utilization of in place facilities.
E. LINES TO BE BUILT IN THE FUTURE.
1. The Cooperative shall maintain accurate records of the cost of
all lines and facilities it installs or builds in accordance with
the terms of this agreement and in conformance to plans agreed upon
or requested by the Commission. At the time of transfer the Com-
mission shall pay the Cooperative an amount equal to the cost of
these facilities depreciated to the date of transfer.
2. Should the Cooperative feel that the facilities suggested by
the Commission are too expensive, as compared with the cost of
facilities the Cooperative would normally install, the Commission
shall pay the Cooperative the additional cost over the Cooperatives
normal contruction costs at the time that these facilities are
placed in service. Credit for this additional cost shall be given to
the Commission at the time that these facilities are purchased.
3. In instances where the Commission requests underground con-
struction, the Commission and Cooperative shall mutually agree upon
construction standards. If this means that the Cooperative must
install facilities that it does not normally handle, the Commission
shall diligently assist the Cooperative with construction and
maintenance as requested by the Cooperative.
This agreement shall be reviewed at least biennially and modified, if necessary,
to fit the best interest of the parties attesting hereto.
It is aclmowledged that the Cooperative has certain relationships with the
Cooperative Power Association, and the Commission has certain relationships
with the City of Hutchinson and nothing herein shall be construed to modify
those relationships.
