A special meeting of the Light & Power Commission was held
on March 14, 1945 at 5 :00 P.M., at the office of Dr. R. I. Sheppard.
All members of the Commission were present.
Mr. L. A. Winters, of the Buell & Winter Engineering Company,
appeared before the Commission and submitted proposed terms for
preparation of plans and specifications by the Buell & Winter
Engineering Company for additional generating capacity.
RESOLUTION
WHEREAS the growth of peak loads of the Plant has reached
the point where the firm capacity of the Plant is 2190 KW and
we no longer have sufficient firm capacity to meet the electric
service needs. (This capacity is calculated on the basis that
the large unit may be taken out of service for repairs and that
the Nordberg unit is only rated at 900 KW on the continuous
heavy duty rating. Peak loads now being experienced and antici-
pated for the immediate future will range between 3000 and 3500
KIN. Under these conditions the firm capacity of the Plant is
almost 1500 KW short of the anticipated Plant requirements.)
BE IT RESOLVED that the proposal submitted by the Buell &
Winter Engineering Co. to furnish complete engineering services
in connection with the construction of improvements to the
Electric Generating Plant. As follows:
A - PLANS AIVD SPECIFICATIONS FOR GENERATING EQUIPMENT
We will secure the necessary field information, following which
we will prepare plans and specifications covering the purchase
and installation of a new Diesel engine generating unit so that
proposals may be received on this work.

In connection with the preparation of plans and specifications
for the above, it is understood that your Commission will secure
the services of some legal authority to prepare the procedure
necessary for the Commission to follow in the construction of
this improvement.
B - ATTENDANCE AT BID LETTING
We. will attend such meeting as may be called by the Light and
Power Commission, at which time proposals are under consideration
for the construction of this improvement and will advise with
the Commission concerning the selection of the equipment and the
award of construction contracts.
C - PLANS AND SPECIFICATIONS FOR BUILDING CONSTRUCTION
Following the award of contracts for the Diesel engine generating
equipment, we will prepare plans and specifications for the alter-
ations necessary in the present power plant building so that bids
may be reeeived and W.P.B. application made for the construction
of this work.
D - APPLICATION TO W.P.B.
Following the award of the contract for the Diesel engine generat-
ing equipment and the preparation of plans and specifications for
the building alterations and additions, we will prepare an appli-
cation to the W.P.B. for priority necessary to construct this
improvement. In connection with this application it is understood
that your Commission will furnish us with all data available con-
cerning growth of loads and energy production and will also furnish
us with.data on anticipated future load requirements as they will
affect the operation of your generating plant.
E - ATTENDANCE AT BID LETTING FOR BUILDING CONSTRUCTION
Following the receipt of W.P.B. approval for the construction of
this work, it is anticipated that bids will be received for the
construction of the necessary building alterations and additions
and we will be represented at such meetings as your Commission
may call for the purpose of receiving bids and awarding con-
tracts for this work.
F - SUPERVISION OF CONSTRUCTION
Following the award of contracts and the securing of the necessary
W.P.B. approvals, and upon request of the Light and Power Commiss-
ion, we will furnish a Resident Engineer who will supervise the
construction of the work and the installation of the equipment.
PAYMENTS
For the doing of the above work, with the exception of the
services as called for under paragraph "Ftt above, we ask that the
Light and Power Commission of the City of Hutchinson, Minnesota,
pay us a total fee equal to the amount of 3�% of the construction
cost of the improvement, with payments to be made in accordance

with the following schedule;
1. For all work as set out in paragraph "A" above, the net sum
of $3,000.00 is to be due and payable upon the delivery of
the plans and specifications to your Commission.
2. For all work as set out under paragraph "B" above, we are to
receive the net sum of $200.00 at the time the service called
for is rendered.
3. For all work as set out in paragraph "C" above, we are to
receive the net sum of $20000.00 upon the delivery of the
plans and specifications as called for therein.
4. For the work involved in the preparation-of the W.P.B. appli-
cation, we are to receive the net sum of $300.00 upon the
completion and submission of the application data to your
Commission.
5. For the services as called for under paragraph "E" above,
we are to receive the net sum of $200.00, payable at the
time said service is rendered.
6. For the furnishing of a Resident Engineer as called for in
paragraph "F" above, we are to receive the net sum of $375.00
per month for such period of time as said engineer is actually
engaged in the construction of the project, which time is to
include delay time which may be occasioned by bad weather or
other reasons beyond our control. This payment is to be in
addition to the total fee of 3J% as set out in the preamble
hereof.
7. Upon the final. completion of all work involved in this con-
struction, we are -to receive the balance of the total amount
agreed upon remaining unpaid.
